ROCK THE COAST, LLC

PURCHASE & PARTICIPATION AGREEMENT (“PPA”)

Effective Date: May 1, 2027

For and in consideration of any purchase to attend any Rock The Coast event or participation at any Rock The Coast, LLC event, all purchasers and participants agree, acknowledge, and accept the following terms and conditions of this Purchase and Participation Agreement (“PPA”). This PPA governs the relationship between all purchasers and participants and Rock The Coast, LLC, its parent, subsidiary, and affiliated entities (including without limitation FOUR17 Entertainment and its affiliates), and its members, managers, officers, directors, employees, agents, and successors and assigns (collectively, “RTC”).

RTC reserves the right, in its sole discretion and to the extent not prohibited by federal law, to change, delete, or add to any term of this PPA without prior notice; the current version will be published at www.rockthecoasttx.com and governs over any conflicting ticket, wristband, or website language. All purchasers and participants acknowledge they have read and agreed to RTC’s Privacy Policy, incorporated herein by reference.

All RTC events occur on board a vessel operated by Carnival Cruise Lines (“Carnival”) and/or at destination cruise stops along the scheduled voyage, and are private events not accessible to other Carnival passengers. Participation requires travel booked directly with Carnival through RTC’s travel agent, and/or the necessary RTC wristband or ticket.

Cabin pricing is per passenger-participant and includes on-board accommodation, most on-board meals, amenities/activities/entertainment included in the Carnival passenger ticket, and access to RTC events — it does not include airfare, ground transportation or accommodations, on-board purchases, or anything else not specifically mentioned. All prices and fees are quoted and charged in USD; purchaser is responsible for any bank or processor fees on international transactions.

Passenger tickets and accommodations are paid directly to and governed by the Carnival Ticket Contract (available at carnival.com), except as this PPA otherwise states. A non-refundable per-participant deposit, in the amount specified at booking, is payable directly to Carnival at booking to hold the group-rate cabin and is applied against amounts owed to Carnival; notwithstanding any contrary Carnival term, any refund Carnival issues will be net of this non-refundable deposit. Carnival separately charges a per-participant fee for port charges, taxes, and gratuities, due by the date specified at booking.

All payments to RTC are non-refundable, including the per-participant RTC fee specified at booking. Each participant receives a wristband or ticket that cannot be sold, resold, or used in any promotional activity without RTC’s express written authorization; any unauthorized sale, resale, or transfer is void. Given the non-refundable nature of all payments, RTC strongly encourages purchasing travel protection and insurance at the time of booking.

RTC offers payment plans; agreeing to one authorizes RTC and/or Carnival to charge purchaser’s payment method per its terms without further notice. Purchaser and participant agree not to dispute any related credit card charges, and RTC may charge a fee (currently $100.00) for returned, late, or missed payments, canceled or invalid cards, or chargebacks. Failure to make timely payments may result in loss or cancellation of booking without refund.

Chargebacks

All fees paid to RTC are fully earned upon payment in consideration of RTC’s reservation of capacity, talent booking, and event planning, regardless of attendance. Filing a chargeback or payment dispute in violation of this PPA is a material breach; if such a dispute is resolved in RTC’s favor or withdrawn, purchaser and participant must reimburse RTC’s reasonable costs of responding, including attorneys’ fees, and RTC may deny future bookings to repeat offenders.

Force Majeure

RTC is not liable for any failure, delay, modification, postponement, or cancellation of an RTC event or scheduled entertainment caused by circumstances beyond its reasonable control — including acts of God, severe weather, government orders, port closures, pandemic restrictions, terrorism, or Carnival’s own changes to the voyage or itinerary. Ordinary business/financial considerations or an individual artist’s unavailability do not excuse performance but likewise create no refund right. No refund is due for a Force Majeure event except to the extent RTC actually receives a corresponding refund from Carnival or a third party, net of RTC’s non-refundable fees.

No Reliance on Unauthorized or Third-Party Statements

Only written communications issued directly by RTC through its official website, email, or social media accounts are authorized statements of RTC. Statements or posts by venues, vendors, artists, agents, former partners, or any other third party — including any characterizing an event as cancelled, postponed, or altered — are not authorized by and do not bind RTC unless separately confirmed in writing through RTC’s official channels, and reliance on them creates no refund or other remedy.

RTC is not responsible for losses (including lodging or airfare) from a cancelled or delayed flight or other transportation, and is not liable if Carnival cancels, advances, postpones, reroutes, or substitutes any vessel, sailing, or port of call, or for any change to itinerary, entertainment lineup, hotels, excursions, add-ons, or amenities. RTC reserves the right, in its sole discretion and without prior notice or liability, to change, add, remove, or substitute any artist, performer, or entertainment, and to change the sailing dates, itinerary, ports of call, or vessel for any RTC event or the Rock the Coast Cruise generally. No such change entitles purchaser or participant to a refund, credit, or any other remedy.

Conduct, Removal, and No Refund

RTC may refuse service or admission to, or remove, any person at its sole discretion — including for disruptive, unsafe, or policy-violating conduct — with no refund due, and such person remains solely responsible for any obligations owed directly to Carnival.

EXCEPT TO THE EXTENT EXPRESSLY PROHIBITED BY APPLICABLE LAW, EACH PURCHASER AND PARTICIPANT ASSUMES THE RISK OF INJURY TO PERSON OR PROPERTY RESULTING FROM OR RELATING TO THE ROCK THE COAST CRUISE AND ANY RTC EVENT, HOWEVER CAUSED, AND FULLY, FOREVER, AND IRREVOCABLY RELEASES RTC AND ITS RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, OWNERS, EMPLOYEES, SPONSORS, AGENTS, ATTORNEYS, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, OR CAUSES OF ACTION OF ANY NATURE ARISING OUT OF OR RELATING TO PARTICIPATION IN THE CRUISE OR ANY RTC EVENT, INCLUDING ANY CLAIM FOR EMOTIONAL DISTRESS, MENTAL SUFFERING, OR PSYCHOLOGICAL INJURY, AND WHETHER SUCH CLAIM BELONGS TO PARTICIPANT OR PARTICIPANT’S HEIRS, EXECUTORS, ADMINISTRATORS, OR ASSIGNS.

No Personal Liability

This PPA is entered into with Rock The Coast, LLC as a limited liability company. No individual member, manager, officer, employee, or agent of RTC — including any individual who founded, owns an interest in, or manages RTC — shall have any personal liability to purchaser or participant under this PPA or in connection with the Rock the Coast Cruise or any RTC event. Purchaser and participant agree to look solely to the RTC entity, and not to any individual, for any claim, demand, or recovery of any kind.

Indemnification

Purchaser and participant will indemnify, defend, and hold harmless RTC from any claims, damages, losses, and costs (including reasonable attorneys’ fees) arising from: their breach of this PPA; injury to person or property they cause during the Cruise or an RTC event; any third-party claim arising from their conduct; or their violation of Carnival’s policies or Ticket Contract.

RTC is not responsible for loss of or damage to participant property on the vessel or in connection with air/ground transportation, makes no warranty as to the vessel’s seaworthiness or fitness or any food or drink served on board, assumes no liability for medical treatment or advice provided on board or at ports of call, and assumes no liability for any arrangements (air, excursions, ground transport, hotels, restaurants, etc.) made for purchaser’s or participant’s convenience, which are undertaken at their own risk.

RTC SHALL HAVE THE UNFETTERED RIGHT TO USE ANY PARTICIPANT’S NAME, VOICE, LIKENESS, PHOTOGRAPH, IMAGE, OR AUDIO/VIDEO RECORDING, IN ANY MEDIUM THROUGHOUT THE UNIVERSE IN PERPETUITY FOR ANY PURPOSE INCLUDING TRADE, ADVERTISING, AND PUBLICITY, WITHOUT COMPENSATION OR RIGHT OF REVIEW, WITH ALL RIGHTS (INCLUDING WORLDWIDE COPYRIGHT) VESTING IN RTC FREE OF ANY CLAIM BY PARTICIPANT (INCLUDING INVASION OF PRIVACY, RIGHT OF PUBLICITY, OR DEFAMATION), EXCEPT AS EXPRESSLY PROHIBITED BY LAW.

Purchaser represents they are at least 18, and each participant represents they are at least 21 unless accompanied by a parent or legal guardian.

No Reliance on Extrinsic Statements; Assent

This PPA is purchaser’s and participant’s entire understanding of the terms of participation; they have not relied on any verbal representation, marketing statement, or promotional material not reflected in this document or on the RTC Website. Completing a booking, paying any fee, or accepting an RTC wristband or ticket constitutes affirmative acceptance of this PPA in full, whether or not separately signed or checked.

Governing Law, Venue, and Attorneys’ Fees

This PPA is governed by U.S. law and, to the extent not preempted, Texas law without regard to conflict-of-law principles; venue for any dispute lies in Galveston County, Texas, except that disputes governed in whole or part by the Carnival Ticket Contract are subject to that Contract’s own choice-of-law and venue terms. The prevailing party in any dispute is entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party.

This PPA is the entire agreement between RTC and purchaser/participant on this subject and supersedes all prior negotiations and agreements, written or oral. A waiver of any term in one instance is not a waiver for the future or of any subsequent breach. If any provision is held unenforceable, it is severed and the remainder of this PPA remains in full force and effect.
